By accessing, browsing and/or using Centrl.com or the Centrl services, you acknowledge that you have read, understood, and agree to be bound, by the terms and conditions of use described herein, and all terms, policies, guidelines and conditions incorporated by reference, including any future modifications to this terms of service agreement. If you do not agree to all the terms and conditions of use in this terms of service agreement, please do not use Centrl.com or the Centrl services.
Centrl reserves the right to change or modify any of the terms and conditions contained in this Terms of Service Agreement or any policies or guidelines of Centrl.com or the Centrl Services, at any time and in its sole discretion. You agree that such changes and modifications may be made solely by posting the revised Terms of Service Agreement or other policies or guidelines on Centrl.com and indicating at the top thereof the date it was last updated. You expressly agree to such form of notification of changes and modifications and waive any right to receive individual notice of such changes or modifications. Any changes or modification will be effective immediately upon posting of the revisions on Centrl.com. Your continued use of Centrl.com or the Centrl Services following the posting of any changes or modifications will constitute your acceptance of such changes or modifications. Therefore, you should review this Terms of Service Agreement and any applicable policies or guidelines whenever you access Centrl.com or the Centrl Services in order to determine if such terms, policies or guidelines have changed, and to understand the terms and conditions and the policies and guidelines that apply to your use of Centrl.com and the Centrl Services. If you do not agree to the amended terms, you must stop using Centrl.com and the Centrl Services. Centrl may from time to time choose to provide you with additional forms of notice of changes and modifications beyond what is required under this Terms of Service Agreement. However, you acknowledge and agree that providing such additional forms of notice in some instances does not require that such additional forms of notice be given in other instances.
Subject to this Terms of Service Agreement, Centrl may offer to provide the Centrl Services, as described more fully on Centrl.com, and which are selected by you, solely for your own use, and not for the use or benefit of any third party. The Centrl Services shall include, but are not limited to, any services Centrl performs for you, as well as the offering of any content on Centrl.com. Centrl may change, suspend or discontinue Centrl.com or the Centrl Services at any time, including the availability of any feature, database, or content. Centrl may also impose limits on certain features and services or restrict your access to parts or all of the Centrl Services without notice or liability. By using Centrl.com or the Central Services, you agree to be served relevant, location-specific special offers. Users will be permitted to opt-out of these special offers.
You certify to Centrl that if you are an individual (i.e., not a corporate entity) you are at least 13 years of age. If you are at least 13 years of age but under the age of 18, then you agree to review these terms and conditions with your parent or guardian to make sure that both you and your parent or guardian understand and agree to this Terms of Service Agreement and you agree to have your parent or guardian review and accept this Terms of Service Agreement on your behalf through the Centrl registration process. The parent or guardian entering this Terms of Service Agreement for the benefit of a child who is at least 13 agrees to and accepts full responsibility for that child’s use of Centrl.com or the Centrl Services, including all financial charges and legal liability that the minor user may incur. By using Centrl.com or the Centrl Services, you represent and warrant that you are at least 13 years of age and that you agree to abide by these terms. Please remember that Centrl.com and the Centrl Services are designed to appeal to a broad audience. Accordingly, the parent or legal guardian is responsible for determining whether any of the Centrl.com or the Centrl Services are appropriate for your child.
Centrl.com and the Centrl Services are not available to persons under the age of 13 or to any users suspended or removed from Centrl.com or the Centrl Services by Centrl. Any registration by, use of or access to Centrl.com or the Centrl Services by anyone under 13 is unauthorized, unlicensed and in violation of these terms. You agree that the information provided to Centrl upon registration and at all other times will be true, accurate, current and complete. You also agree to ensure that this information is kept accurate and up to date at all times.
You certify that you are legally permitted to use the Centrl Services and access Centrl.com, and you also take full responsibility for the selection and use of the Centrl Services and Centrl.com. This Terms of Service Agreement is void where prohibited by law, and the right to access Centrl.com or use the Centrl Services is revoked in such jurisdictions. Centrl makes no claim that Centrl.com or the Centrl Services may be lawfully viewed or that content may be downloaded outside of the United States. Access to content on Centrl.com or the Centrl Services may not be legal by certain persons or in certain countries. If you access Centrl.com or the Centrl Services from outside the United States, you do so at your own risk and you are responsible for compliance with the laws of your jurisdiction.
Centrl will use reasonable efforts to ensure that Centrl.com and the Centrl Services are available twenty-four hours a day, seven days a week. However, there will be occasions when Centrl.com and/or the Centrl Services will be interrupted for maintenance, upgrades and emergency repairs or due to failure of telecommunications links and equipment. Every reasonable step will be taken by Centrl to minimize such disruption where it is within Centrl’s reasonable control. You agree that neither Centrl nor the Centrl.com and the Centrl Services will be liable in any event to you or any other party for any suspension, modification, discontinuance or lack of availability of the Centrl.com, the Centrl services, your user content or other content. Centrl retains the right to create limits on use and storage in its sole discretion at any time with or without notice.
You shall be responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access Centrl.com or otherwise use the Centrl Services, including, without limitation, modems, hardware, software, and long distance or local telephone service. You shall be responsible for ensuring that such equipment or ancillary services are compatible with the Centrl Services.
Centrl.com and its contents are intended solely for the user and may only be used in accordance with the terms of this Terms of Service Agreement. All materials displayed or performed on Centrl.com, other than content posted by you, including, but not limited to text, graphics, design, visual interfaces, logos, tools, compilation, computer code, products, software, services, photographs, images, illustrations, audio and video, animations, including, but not limited to, the mobile device applications, and all other elements of the Centrl Services (collectively, “Content”) are the property of Centrl and/or third parties and are protected by United States and international copyright laws, trade dress and trademark laws, international laws and conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. All trademarks, service marks, and trade names are proprietary to Centrl and/or third parties. You shall abide by all copyright notices, information, and restrictions contained in any content accessed through Centrl.com or the Centrl Services. Centrl.com is protected by copyright as a collective work and/or compilation, pursuant to U.S. copyright laws, international conventions, and other copyright laws. You may not copy, modify, publish, transmit, upload, participate in the transfer or sale of, reproduce (except as provided in this Section), create derivative works based on, distribute, perform, display, or in any way exploit, any of the Content, software, materials, or the Centrl Services in whole or in part.
You may download or copy the content, and other items displayed on Centrl.com for download, for personal use only, provided that you maintain all copyright and other notices contained in such content. Downloading, copying, or storing any Content for other than personal, noncommercial use is expressly prohibited without prior written permission from Centrl, or from the copyright holder identified in such content’s copyright notice. In the event you download software from Centrl.com, the software, including any files, images incorporated in or generated by the software, and the data accompanying the software (collectively, the “Software”) is licensed to you by Centrl or third party licensors for your personal, noncommercial use, and no title to the software shall be transferred to you. You may own your content on which the Software is recorded, but Centrl or third party licensors retain full and complete title to the Software and all intellectual property rights therein.
You acknowledge and agree that if you use any of the Centrl Services to contribute content, you grant Centrl and its affiliates a perpetual, irrevocable, worldwide, non-exclusive, royalty-free right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform and publicly display your content (in whole or in part) and/or to incorporate such your content in other works in any form, media, or technology now known or later developed. You also grant each user of Centrl.com the right to access, display, view, store and reproduce such your content for personal use. You represent and warrant to Centrl that you have the right to grant the licenses stated above. You acknowledge and agree that if you use any of the Centrl Services to contribute content to Centrl.com, Centrl will have a non-exclusive, worldwide, royalty-free, transferable right, under all of your intellectual property rights, to copy, cache, publish, display, perform, distribute, translate and store such content and to allow others to do so. To the extent allowed by law, the foregoing includes all rights of paternity, integrity, disclosure and withdrawal and any other rights that may be known as or referred to as “Moral Rights.” To the extent you retain any such Moral Rights under applicable law, you hereby ratify and consent to any action that may be taken with respect to such Moral Rights by Centrl and agree not to assert any Moral Rights with respect thereto. You warrant, represent and agree that you have the right to grant Centrl and Centrl.com the rights set forth above.
You represent, warrant and agree that you will not contribute, post, upload to, transmit, distribute, store, create or otherwise publish, any content that (a) infringes, violates or otherwise interferes with any patent, copyright or trademark of another party, (b) reveals any trade secret, unless you own the trade secret or have the owner’s permission to post it, (c) infringes any intellectual property right of another or on the privacy or publicity rights of another, (d) is unlawful, libelous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, invasive of privacy or publicity rights, inflammatory, fraudulent, offensive or otherwise violates any law or right of any third party, (e) contains a virus, trojan horse, worm, time bomb or other computer programming routine or engine that is intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information, including corrupted data or other harmful, disruptive or destructive files, (f) private information of any third party, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers, (g) impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity, (h) is unsolicited promotions, political campaigning, advertising or solicitations, (i) that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law, or restricts or inhibits any other person from using Centrl.com or the Centrl Service, or which may expose Centrl or its users to any harm or liability of any type, or (j) remains posted after you have been notified that such content violates any of sections (a) to (i) of this sentence. Centrl reserves the right to remove any content from Centrl.com, suspend or terminate your right to use Centrl.com and the Centrl Services at any time, or pursue any other remedy or relief available to Centrl under equity or law, for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such content or if Centrl is concerned that you may have breached the immediately preceding sentence), or for no reason at all.
You understand that when using the Centrl Services you will be exposed to content from a variety of sources, and that Centrl is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such content. You further understand and acknowledge that you may be exposed to content that is inaccurate, offensive, indecent or objectionable, and you agree to waive, and hereby does waive, any legal or equitable rights or remedies you has or may have against Centrl with respect thereto.
Centrl assumes no responsibility whatsoever in connection with or arising from content. Centrl assumes no responsibility to actively monitor content. Further, Centrl does not endorse and has no control over content submitted by its users. Centrl makes no warranties, express or implied, as to the accuracy and reliability of any content. Nonetheless, Centrl reserves the right to prevent you from submitting content and to edit, restrict or remove content for any reason at any time.
You are responsible for all of your activity in connection with the Centrl Services and accessing Centrl.com. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your right to the Centrl Services or to access Centrl.com. You may not post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any Centrl user.
Use of Centrl.com or the Centrl Services to violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material including that are deemed threatening or obscene, or engage in any kind of illegal activity is expressly prohibited. Under no circumstances will you use Centrl.com or the Centrl Services to (a) send unsolicited e-mails, bulk mail, spam or other materials to users of Centrl.com or any other individual, (b) harass, threaten, stalk, solicit, spam, impersonate, intimidate or abuse any person or party, including other users of Centrl.com, (c) create a false identity or to impersonate another person, or (d) post any false, inaccurate or incomplete material or delete or revise any material that was not posted by you, and for commercial purpose or for any illegal, unlawful, inappropriate or unauthorized purpose or activity. You agree not to collect or store any location or other personal information about any Centrl users that you obtain from Centrl.com.
Any use of Centrl.com in violation of the foregoing violates this Terms of Service Agreement and may result in, among other things, termination or suspension of your rights to use Centrl.com.
Although Centrl may not store and preserve the material residing on Centrl.com, Centrl is not responsible or liable in any way for the failure to store, preserve or access user content or other materials you transmit or archive on Centrl.com. You are strongly urged to take measures to preserve copies of any data, material, content or information you post or upload on Centrl.com. You are solely responsible for creating back-ups of your user content.
The services, content, website and any software are provided on an "as is" basis, with all faults, defects and errors, and without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose or non-infringement. Centrl makes no representations or warranties of any kind with respect to the website, the services, and the software, including any representation or warranty that the use of the website, services, or the software will (a) be timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data, (b) meet your requirements or expectations, or (c) be free from bugs, viruses, errors or other harmful components, or that defects will be corrected.
To the fullest extent allowed by law, Centrl disclaims any liability or responsibility for the accuracy, reliability, availability, completeness, legality or operability of the material or services provided on Centrl.com. By using Centrl.com, you acknowledge that Centrl is not responsible or liable for any harm resulting from (1) use of Centrl.com; (2) downloading information contained on Centrl.com, including but not limited to downloads of content posted by users; (3) unauthorized disclosure of images, information or data that results from the upload, download or storage of content posted by users; (4) the temporary or permanent inability to access or retrieve any user content from Centrl.com, including, without limitation, harm caused by viruses, worms, trojan horses, or any similar contamination or destructive program.

You acknowledge that Centrl has no control over, and no duty to take any action regarding, but not limited to: which users gains access to Centrl.com; which content you access via Centrl.com; what effects the content may have on you; how you may interpret or use the content; or what actions you may take as a result of having been exposed to the content. Much of the content of Centrl.com is provided by and is the responsibility of the user who posted the content. You release Centrl from all liability for having acquired or not acquired content through Centrl.com. Centrl.com may contain, or direct you to sites containing, information that some people may find offensive or inappropriate. Centrl makes no representations concerning any content contained in or accessed through Centrl.com, and Centrl will not be responsible or liable for the accuracy, copyright compliance, legality or decency of material contained in or accessed through Centrl.com.
The Centrl Services are intended only as personal, location-based services for individual use and should not be used or relied on as an emergency locator system, used while driving or operating vehicles, or used in connection with any hazardous environments requiring fail-safe performance, or any other application in which the failure or inaccuracy of that application or the Centrl Services could lead directly to death, personal injury, or severe physical or property damage. Centrl is not suited or intended for family finding purposes, fleet tracking, or any other type of business or enterprise use - other products exist today that may be used specifically for these purposes.
You acknowledge and agree that Centrl has offered the Centrl Services and entered into this Terms of Service Agreement in reliance upon the warranty disclaimers and the limitations of liability set forth in the Terms of Service Agreement. You further acknowledge and agree that the warranty disclaimers and the limitations of liability set forth in this Terms of Service Agreement reflect a reasonable and fair allocation of risk between you and Centrl, and that the warranty disclaimers and the limitations of liability set forth in this Terms of Service Agreement form an essential basis of the bargain between you and Centrl. Centrl would not be able to provide the Centrl Services to you on an economically reasonable basis without these limitations and disclaimers.
Centrl permits third parties to post content to Centrl.com and may provide users access from Centrl.com to third party content and websites (“Third Party Content”) through hypertext or other computer links on Centrl.com. Third Party Content is not within the supervision or control of Centrl. Unless explicitly otherwise provided, Centrl does not make any representation or warranty whatsoever about any third party website that is linked to Centrl.com, nor endorse the products or services offered on such third party website. Centrl undertakes no responsibility to update or review any Third Party Content. Centrl disclaims: (a) all responsibility and liability for content on third party websites and (b) any representations or warranties as to the security of any information (including, without limitation, credit card and other personal information) you might be requested to give any third party, and you hereby irrevocably waive any claim against Centrl with respect to Third Party Content. Centrl does not assume any responsibility or liability for the actions, product, and content of all these and any other third parties. You acknowledge and agree that Centrl shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or third party products or service, or any loss or damage of any sort incurred as the result of such dealings, products or services, or as the result of the presence of such advertisers on Centrl.com or the Centrl Services.
You agree to defend, indemnify and hold harmless Centrl, its licensors, independent contractors, service providers and consultants, and their respective directors, officers, shareholders, employees, members and agents, from and against any claims, demands, costs, liabilities and expenses (including, but not limited to, reasonable attorneys’ fees) arising out of or related to your conduct in connection with Centrl.com and the Centrl Services, or any content you post, store or otherwise transmit on or through Centrl.com or the Centrl Services, or your use of or inability to use Centrl.com, the Centrl Services or the Centrl Software, including without limitation, any actual or threatened suit, demand or claim made against Centrl and/or its independent contractors, service providers, consultants, and their respective directors, officers, employees, members and agents, arising out of or relating to the content, your conduct, your violation of this Terms of Service Agreement, or your violation of the rights of any third party, or the infringement by you, or any third party using the your account, of any intellectual property or other right of any person or entity.
In no event shall Centrl, Its licensors, independent contractors, service providers and consultants, and their respective directors, officers, shareholders, employees, members or agents, be liable with respect to Centrl.com or the Centrl services for (a) any direct, indirect, incidental, punitive, special, exemplary or consequential damages or liabilities of any kind whatsoever relating to software or this terms of service agreement, whether based on contract, tort (including negligence), strict liability or other theory, even if Centrl has been advised of the possibility of such damages; (b) damages for loss of use, profits, data, images, user content or other intangibles; (c) damages for unauthorized use, non-performance or Centrl.com, errors or omissions; or (d) damages related to downloading or posting content.
Centrl grants you a non-exclusive, non-transferable license to install and use a copy of the Centrl Software in object code form only, solely for your personal, noncommercial use in connection with the Centrl Services. Any software that updates, supplements or replaces the original Centrl Software is governed by this Terms of Service Agreement unless separate license terms accompany such update, supplement or replacement, in which case such separate terms will govern in the event of a conflict with this Terms of Service Agreement or as otherwise provided in such separate terms.
The preceding states the entirety of your rights with respect to the Centrl Software, and we reserve all rights not expressly granted to you in this Terms of Service Agreement. Without limiting the foregoing, you will not do, or authorize or permit any third party to do, any of the following: (a) license or sell the Centrl Software; (b) distribute the Centrl Software except as expressly authorized by Centrl; (b) use the Software for any purpose other than your personal, noncommercial use; (c) reverse engineer, decompile, disassemble or attempt to discover the source code for the Centrl Software; (d) modify, alter or create any derivative works of the Centrl Software; or (e) remove, alter or obscure any copyright, trademark or other proprietary rights notice on or in the Centrl Software.
The Centrl Software is the valuable property of Centrl and its licensors and is protected by copyright and other intellectual property laws and treaties. Centrl and its licensors own all right, title and interest in and to the Centrl Software, including all copyright and other intellectual property rights in the Centrl Software.
Centrl has adopted a policy toward copyright infringement with respect to Centrl.com in accordance with the Digital Millennium Copyright Act (DMCA), a copy of which is located at http://lcweb.loc.gov/copyright/legislation/dmca.pdf. It is Centrl’s policy to respond to notices of alleged infringement that comply with the Digital Millennium Copyright Act.
Reporting Copyright Infringements. If you believe that content residing or accessible on Centrl.com infringes a copyright, please send a notice of copyright infringement containing the following information to the Designated Agent:

We reserve the right to reclaim public placemarks and usernames on behalf of businesses or individuals that hold a legal claim or trademark on those public placemarks or usernames.
Centrl reserves the right to change its pricing and to institute new charges at any time, which will be posted on Centrl.com for your review. Your use of Centrl.com and Centrl Services following such changes in pricing or institution of new charges constitutes your acceptance. You shall pay all applicable fees, as described on Centrl.com in connection with such Centrl Services selected by you.

Notwithstanding any provisions of this Terms of Service Agreement, Centrl reserves the right, without notice or liability, and in its sole discretion, to terminate your account and your license to use Centrl.com, the Centrl Software and the Centrl Services, and to block or prevent your future access to and use of Centrl.com, the Centrl Software and the Centrl Services, at any time for any reason or for no reason immediately upon notice.
Either party may terminate at any time by notifying the other party by any means. Centrl may also terminate or suspend any and all of the Centrl Services and access to Centrl.com immediately, without prior notice or liability, if you breach any of the terms or conditions of this Terms of Service Agreement.
Upon termination of your account, your right to use the Centrl Services, access Centrl.com, and any content will immediately cease. All provisions of this Terms of Service Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, limitations of liability, termination, governing law, jurisdiction and miscellaneous. Termination of your access to and use of Centrl.com and the Centrl Services shall not relieve you of any obligations arising or accruing prior to such termination or limit any liability which you otherwise may have to Centrl or Centrl.com, including without limitation any indemnification obligations contained herein.
Upon termination, you agree not to download, copy, install or use the Centrl Software (including any subsequent version of the Centrl Software) or register for any new user accounts. Centrl may also discontinue the Centrl Services, and in such event: (a) the license granted to you in this Terms of Service Agreement will terminate; (b) you must immediately upon receiving any notice of termination cease all use of the Centrl Software and destroy or erase all copies of the Centrl Software in your possession or control.
This Terms of Service Agreement, as modified from time to time, constitutes the entire agreement between you, Centrl.com and Centrl with respect to the subject matter hereof. This Terms of Service Agreement replaces all prior or contemporaneous understandings or agreements, written or oral, regarding the subject matter hereof. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. Centrl shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Centrl’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.
If any provision of this Terms of Service Agreement is found, by a court of competent jurisdiction, to be unenforceable, illegal or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Terms of Service Agreement shall otherwise remain in full force and effect and enforceable.
The headings of sections and paragraphs of this Terms of Service Agreement are for convenience of reference only and are not intended to restrict, affect or be of any weight in the interpretation or construction of the provisions of such sections or paragraphs.
This Terms of Service Agreement is not assignable, transferable or sublicensable by you except with Centrl’s prior written consent. Centrl may assign this Terms of Service Agreement in whole or in part at any time without your consent.
This Terms of Service Agreement shall be governed by and construed in accordance with the laws of the State of Delaware without regard to the conflict of laws provisions thereof.
No agency, partnership, joint venture, or employment is created as a result of this Terms of Service Agreement and you do not have any authority of any kind to bind Centrl in any respect whatsoever.

Every place, event, and person on Centrl has its own feed that appears on its page. Only the activity it's directly related to will appear for others to see. You won't be able to see notes on another person's feed that you're not allowed to see. However, if you write a review, post a note, upload pictures, or schedule to meet up at a particular place for your friends, what you say or do will appear in each of your Centrl Feeds as well as the feed of the place, so it's easy to stay up-to-date with your friends and see their activities related to the places and events they talk about.
As used herein, the term "personal identifying information" means information that specifically identifies an individual (such as a name, address, telephone number, mobile number, e-mail address, or other account number), and information about that individual's location or activities, such as information about his or her use of the Website, when directly linked to personally identifiable information. All information that registered users opt to provide to Centrl for the purpose of creating a User Profile is stored. However, this information will not be used for any other purpose other than for the User Profiles. We will not sell, market, or divulge this information to any third-party. To delete or alter this information a registered user need only change the information on their User Profile.
Personally identifying information does not include "aggregate" information, which is data we collect about the use of the Website or about a group or category of products, services or users, from which individual identities or other personally identifying information has been removed. In other words, information about how you use a service may be collected and combined with information about how others use the same service. Aggregate data helps us understand trends and our users' needs so that we can better consider new features or otherwise tailor our Website. Registered users can invite friends to become registered users by sending invitation emails via our automated invitation system. We store the email addresses that registered users provide so that we may keep track of and inform you of how many people you are inviting and if you have invited someone multiple times. Recipients of invitations may contact us to request the removal of their information from our database. Users on third-party social networks (i.e. Facebook, MySpace, etc.) can invite friends on those particular social networks to install the respective Centrl App for that social network. Such access to the Centrl Services is contingent on the privacy policies of the third-party’s website and is not under the purview of Centrl or Centrl’s Terms of Service or Privacy Policy.
The Website is hosted in the United States.
